Brand Collaboration Terms

These terms govern Deals — structured collaborations between a Business and a Creator on RÆDIUS. They apply to both parties in addition to the Terms, Creator Terms, and Business Terms, and match the actual deal/inbox/proof/admin-review architecture.

1. What a Deal is

A Deal is a record of a collaboration with a defined status lifecycle:

draft → proposed → under_negotiation → accepted → in_progress → submitted → approved → completed, with side-states rejected, cancelled, and disputed.

Each Deal has an associated conversation thread (a chat) for negotiation and coordination, an immutable status history with terms snapshots at each change, and optional attachments (proof, deliverable, or file).

2. Roles between the parties

RÆDIUS provides the tools and the record; it is not a party to your Deal, not an agent, broker, escrow, or guarantor, and does not currently process payment for Deals. Budget and currency fields are for the parties' reference only. The contract for the collaboration is between the Business and the Creator.

3. Workflow and obligations

1. Proposal. A Business proposes a Deal to a Creator with terms (title, deliverables, timeline, objective, budget/currency, usage rights, platforms, content formats, revision limit). A deal thread and record are created.
2. Negotiation. Either party may counter; each change is logged with a terms snapshot.
3. Acceptance. On acceptance the agreed terms snapshot governs the collaboration.
4. Delivery. The Creator performs and submits deliverables/proof (stored privately).
5. Approval. The Business reviews proof and approves or requests revisions (within the agreed revision limit).
6. Completion / dispute. The Deal is marked completed, or moved to disputed if the parties disagree.

Both parties must act in good faith, honour agreed terms, disclose the collaboration publicly where required (see Sponsored Content Policy), and not submit false proofs or misrepresent status.

4. What is public vs. private

• Private to the participants (and admins for safety/dispute/compliance): the deal thread, negotiation messages, budgets, terms snapshots, and proof/deliverable attachments (stored privately in R2, owner + admin access).
• Public (only where record-backed or mutually confirmed): a completed collaboration may appear in the Creator's collaboration history and as a brand link; brand links are shown publicly only when the relationship is mutually confirmed. Public display must not reveal private terms unless both parties agree.

5. Record retention

Deal records — the deal, its status history and terms snapshots, and its thread — are retained, and the deal thread uses permanent retention (it is not auto-deleted like ordinary chats), because these records are needed for delivery, dispute resolution, fraud prevention, accurate public collaboration history, and legal compliance/defence. This retention survives a role switch or account deletion for a defined window; see the Retention Policy and Privacy Policy §4.6–4.7. Both parties are told, via these policies, that collaboration records persist.

6. Disputes, cancellations, revisions, non-performance

• Revisions are limited to the agreed revision limit; further work is a new agreement.
• Cancellation before completion moves the Deal to cancelled; the record and any submitted proof are retained.
• Non-performance / disagreement can be marked disputed. RÆDIUS may, at its discretion, review the retained record (thread, history, proofs) to help resolve or to act on policy violations, but RÆDIUS does not adjudicate the parties' contract or order payment; the parties remain responsible for resolving their commercial dispute, including through the courts or ADR of their jurisdiction.

7. Compliance of collaboration content

All collaboration Content and ads must comply with the Community Guidelines, IP & Copyright Policy, and advertising-disclosure rules. Each party warrants it holds the rights to what it contributes (briefs, assets, deliverables) and that its claims are lawful and not misleading.

8. Planned: Payments and escrow

If RÆDIUS later processes Deal payments, escrow, or payouts, additional terms (payment provider, fees, refunds, chargebacks, tax, KYC) will apply and be presented before use. Until then, any payment between the parties happens off-platform at their own risk.
